This Agreement is between Optimax LLC ("Disclosing Party") and the undersigned buyer ("Receiving Party").
1. CONFIDENTIALITY. All information received through this portal including property addresses, seller identities, financial statements, revenue figures, cap rates, deal terms, and pricing is strictly confidential. Receiving Party shall not disclose any such information to any third party without prior written consent of Optimax LLC.
2. NON-CIRCUMVENTION. Receiving Party agrees not to contact any seller, property owner, or counterparty introduced through this portal without Optimax LLC's involvement. Any transaction completed in circumvention of this Agreement entitles Optimax LLC to its full assignment or finder's fee.
3. ASSIGNMENT FEE. Receiving Party acknowledges Optimax LLC earns an assignment or finder's fee on all transactions. This fee is separate from and in addition to the purchase price.
4. USE OF INFORMATION. All information accessed through this portal shall be used solely to evaluate potential acquisitions. Receiving Party shall not use any information for competitive purposes.
5. TERM. This Agreement remains in effect for two (2) years from date of signing.
6. GOVERNING LAW. This Agreement is governed by the laws of the State of Texas.
7. ELECTRONIC SIGNATURE. Electronic signatures are legally binding to the same extent as original signatures.
